Acceptance of these terms

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

Marketing site only; separate agreement governs services

The Site is a marketing and informational website. These Terms govern only your use of the Site. They do not create any service relationship and do not obligate ModernLift to provide any product, service, or deliverable.

Any engagement for services, products, or deliverables is governed exclusively by a separate written agreement signed by the parties. In the event of any conflict between these Terms and a signed services agreement, that signed agreement controls with respect to the subject matter it covers.

License to use the Site

Subject to these Terms, ModernLift grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Site for your own lawful, personal, or internal business purposes. We may suspend or terminate this license at any time, with or without notice, in our sole discretion.

Acceptable use

You agree that you will not, and will not permit any third party to:

• use the Site for any unlawful, fraudulent, infringing, or harmful purpose;
• copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any part of the Site except as expressly permitted by these Terms;
• access, scrape, crawl, harvest, or index the Site or its content by automated means except as expressly permitted in writing;
• attempt to gain unauthorized access to the Site, its servers, or any related systems or networks, or interfere with or disrupt their operation or security;
• introduce any virus, malware, or other malicious or harmful code, or impose an unreasonable load on our infrastructure;
• reverse engineer, decompile, or disassemble any portion of the Site, or circumvent any access control or security measure; or
• remove, obscure, or alter any copyright, trademark, or other proprietary notice on the Site.

Intellectual property

The Site and all of its content, including text, graphics, logos, marks, designs, layouts, images, software, and code (collectively, the "Content"), are owned by or licensed to ModernLift and are protected by intellectual property and other laws. Except for the limited license granted above, no right, title, or interest in or to the Site or the Content is transferred to you.

"ModernLift", the ModernLift logo, and related names and marks are trademarks of ModernLift. You may not use them without our prior written permission. All rights not expressly granted are reserved.

Submissions and feedback

If you send us comments, ideas, suggestions, or other feedback about the Site, you grant ModernLift a perpetual, irrevocable, worldwide, royalty-free license to use and act on that feedback for any purpose, without any obligation or compensation to you. You are responsible for any information you submit and represent that you have the right to submit it.

Third-party links and content

The Site may contain links to third-party websites, services, or resources that we do not own or control. We provide these links for convenience only and do not endorse and are not responsible for any third-party content, products, services, or practices. Your use of any third-party site or service is at your own risk and subject to that third party's terms.

Informational content only; no professional advice

All Content on the Site — including modernization guides, checklists, articles, statistics, and any commentary on technical, security, compliance, regulatory, legal, or litigation topics — is provided for general informational purposes only and does not constitute legal, financial, accounting, security, technical, or other professional advice. No advisory, fiduciary, attorney–client, or other professional relationship is created by your use of the Site or the Content.

Limitation of liability

To the fullest extent permitted by law, in no event will ModernLift or its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to your access to or use of, or inability to access or use, the Site, whether based in contract, tort, negligence, strict liability, or any other theory, even if advised of the possibility of such damages.

To the fullest extent permitted by law, ModernLift's total aggregate liability arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless ModernLift and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

Changes to the Site and these terms

We may modify, suspend, or discontinue the Site or any part of it at any time, with or without notice. We may also revise these Terms at any time in our sole discretion. When we do, we will update the "Last updated" date above. Changes are effective when posted, and your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for any dispute arising out of or relating to these Terms or the Site, and you waive any objection to venue in those courts.

Severability and waiver

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ModernLift regarding your use of the Site and supersede any prior agreements on that subject. They do not supersede any separate signed agreement governing services, which controls as to its subject matter.
